Palo Alto Networks is in talks to acquire Clutch Security, a startup that secures AI agents’ access to company systems, for $500 million in cash plus additional milestone-based payouts. The discussion involves a three-year-old company that was last valued at $85 million after a $20 million Series A round in January 2025.
Acquisition terms and valuation
Clutch is currently approaching $10 million in annual recurring revenue, or ARR. If the acquisition closes, that price would value the startup at about 50 times its ARR, which is a standard software valuation measure. The company’s Series A was led by Lightspeed and SignalFire, and it was backed by those firms at the time of that round.
Deal talks and market response
Palo Alto Networks and Clutch Security did not respond to a request for comment. The Information first reported the acquisition discussions. The reported price fits into a market that has been paying close attention to tools that protect software from bad actors using AI to breach systems more easily.
A related deal that TechCrunch reported last week involved Upwind, which uses AI to secure cloud infrastructure. Upwind reportedly turned down an acquisition offer from DataDog that valued it at roughly 40 times ARR.
Palo Alto Networks’ buying streak
If the deal happens, it would be Palo Alto Networks’ seventh acquisition this year, according to PitchBook. The cybersecurity company has a record of buying innovation rather than building it internally, and it has increased dealmaking this year in response to rising AI-driven cyberattacks. In September, it acquired Console, a two-year-old startup that uses AI agents to automate routine IT help desk tasks, in a transaction valued at $500 million in stock and cash.
Other purchases this year include NEA-backed Embrace for $325 million, Chronosphere for $2.95 billion, and Koi for $231 million, according to regulatory filings. Chronosphere is described as an observability platform backed by Greylock and Lux Capital, while Koi is a cyber startup backed by Battery and Team8.
Other security acquisitions
Several of Clutch’s competitors have also changed hands. Cyera, a cybersecurity startup valued at $12 billion earlier this year, acquired Oasis Security for $1 billion. Oasis Security, like Clutch, focuses on managing AI agents’ access to systems. Cisco bought Menlo Ventures-backed Astrix for roughly $400 million, according to Calcalist.
